Terms of Service

Important Notice: Please read these Terms of Service carefully before using InoviStore. By accessing or using our platform, you agree to be bound by these terms.

1. Acceptance of Terms

By accessing and using InoviStore ("the Service", "Platform", "we", "us", or "our"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these Terms of Service, you should not access or use the Service.

These Terms constitute a legally binding agreement between you ("User", "Merchant", "you", or "your") and InoviStore, operated by [Company Legal Name], a company registered in Uganda.

2. Definitions

  • "Service" refers to the InoviStore platform, including website, mobile applications, and all related services.
  • "Merchant" refers to any user who creates a store on the Platform.
  • "Customer" refers to end-users who purchase products from Merchants.
  • "Content" includes text, images, graphics, logos, product information, and other materials.
  • "Store" refers to the online storefront created by Merchants on our Platform.
  • "Products" refers to goods or services listed for sale by Merchants.

3. Eligibility and Account Registration

3.1 Age Requirements

You must be at least 18 years old to create an account and use the Service. Users between 13-17 years may use the Service only with parental or guardian consent and supervision. By using the Service, you represent that you meet these age requirements.

3.2 Account Information

You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized access or security breaches
  • Accept responsibility for all activities under your account

3.3 Account Termination

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or pose risks to the Platform or other users.

4. Merchant Obligations

4.1 Product Listings

As a Merchant, you agree to:

  • List only products you have the legal right to sell
  • Provide accurate product descriptions, images, and pricing
  • Honor all orders and prices as listed
  • Maintain adequate inventory for listed products
  • Respond to customer inquiries within 24 hours
  • Ship products within stated timeframes
  • Handle returns and refunds in accordance with your stated policies

4.2 Prohibited Items

Merchants may NOT sell:

  • Illegal drugs, controlled substances, or drug paraphernalia
  • Weapons, firearms, explosives, or ammunition
  • Counterfeit, stolen, or fraudulent goods
  • Products that infringe intellectual property rights
  • Tobacco products or e-cigarettes
  • Adult content or services
  • Live animals
  • Human organs or body parts
  • Fake documents or credentials
  • Hacking tools or services
  • Multi-level marketing or pyramid schemes

4.3 Business Compliance

Merchants are solely responsible for compliance with all applicable laws, regulations, and tax obligations in their jurisdiction. This includes business registration, tax collection and remittance, consumer protection laws, and any required licenses or permits.

5. Fees and Payment Terms

5.1 Service Fees

InoviStore charges the following fees for use of the Platform:

  • Free Plan: 10% transaction fee on each sale
  • Professional Plan: UGX 50,000/month + 5% transaction fee
  • Enterprise Plan: Custom pricing based on volume and features

Transaction fees are automatically deducted from each sale before funds are transferred to your account.

5.2 Payment Processing

We use third-party payment processors for handling transactions. By using the Service, you agree to the terms of our payment partners. Payment processing fees may apply in addition to our service fees.

5.3 Refunds and Chargebacks

Merchants are responsible for their own refund policies and must clearly communicate these to customers. In the event of chargebacks or disputes, we may hold funds or deduct amounts from your account to cover losses, fees, and penalties.

5.4 Fee Changes

We reserve the right to modify our fees with 30 days' notice. Continued use of the Service after fee changes constitutes acceptance of the new fee structure.

6. Intellectual Property Rights

6.1 Platform Ownership

All rights, title, and interest in and to the InoviStore platform, including all software, design, trademarks, and content (excluding User Content), are owned by InoviStore and protected by copyright, trademark, and other intellectual property laws.

6.2 User Content License

You retain all ownership rights to content you upload to the Platform ("User Content"). By uploading User Content, you grant InoviStore a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display your User Content solely for the purpose of operating and promoting the Service.

6.3 Copyright Infringement

We respect intellectual property rights and expect users to do the same. If you believe content on InoviStore infringes your copyright, please contact us at legal@inovistore.com with detailed information about the alleged infringement.

7. User Conduct and Prohibited Activities

Users agree NOT to:

  • Violate any laws, regulations, or third-party rights
  • Engage in fraudulent, deceptive, or misleading activities
  • Harass, abuse, or harm other users
  • Upload malicious code, viruses, or harmful software
  • Attempt to gain unauthorized access to the Platform or user accounts
  • Scrape, data mine, or use automated tools to access the Platform
  • Interfere with or disrupt the Platform's functionality
  • Create multiple accounts to abuse promotions or bypass restrictions
  • Impersonate other users, businesses, or entities
  • Use the Platform for money laundering or illegal financial activities
  • Manipulate reviews, ratings, or feedback systems

8. Disclaimers and Limitation of Liability

8.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8.2 No Guarantee

We do not guarantee that the Service will be uninterrupted, secure, or error-free. We do not guarantee any specific results, sales, or revenue from using the Platform.

8.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INOVISTORE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL INOVISTORE'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO INOVISTORE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR UGX 500,000, WHICHEVER IS GREATER.

9. Indemnification

You agree to indemnify, defend, and hold harmless InoviStore, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

  • Your violation of these Terms
  • Your violation of any law or third-party rights
  • Your User Content or products
  • Your use of the Service
  • Disputes between you and customers

10. Dispute Resolution

10.1 Informal Resolution

Before filing a legal claim, you agree to first contact us at support@inovistore.com to attempt to resolve the dispute informally. We will work in good faith to resolve disputes through negotiation.

10.2 Arbitration

Any disputes not resolved informally shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act of Uganda. The arbitration shall be conducted in Kampala, Uganda, in English.

10.3 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Uganda, without regard to its conflict of law provisions.

11. Termination

11.1 Termination by You

You may terminate your account at any time by contacting support or using the account deletion feature. Upon termination, you remain liable for all fees and charges incurred prior to termination.

11.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice, for:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Excessive chargebacks or disputes
  • Non-payment of fees
  • Extended period of inactivity
  • Risk to the Platform or other users

11.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We may retain certain data as required by law or for legitimate business purposes. Sections that by their nature should survive termination (including payment obligations, indemnification, and limitations of liability) shall continue in effect.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or prominent notice on the Platform at least 30 days before the changes take effect.

Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and may terminate your account.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional terms you agree to when using specific features, constitute the entire agreement between you and InoviStore.

13.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

13.3 No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

13.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

13.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

Software License Agreement

Notice: This License Agreement governs your use of the InoviStore software and platform. Please read carefully.

1. Grant of License

Subject to your compliance with this Agreement and payment of applicable fees, InoviStore grants you a limited, non-exclusive, non-transferable, revocable license to access and use the InoviStore platform solely for your internal business purposes.

This license does not grant you any ownership rights to the software, source code, or any intellectual property of InoviStore.

2. License Restrictions

You may NOT:

  • Copy, modify, or create derivative works of the Platform
  • Reverse engineer, decompile, or disassemble the software
  • Remove, alter, or obscure any proprietary notices
  • Rent, lease, lend, sell, or sublicense the Platform
  • Use the Platform to develop competing products or services
  • Use the Platform beyond the scope of the license granted
  • Access the Platform through automated means except as explicitly permitted
  • Transfer your license without our prior written consent

3. Open Source Components

The InoviStore platform may include open source software components. These components are licensed under their respective open source licenses. A list of open source components and their licenses is available upon request.

Your use of open source components is governed by the applicable open source licenses, which may grant you rights in addition to or different from those in this Agreement.

4. Proprietary Rights

InoviStore and its licensors retain all right, title, and interest in and to the Platform, including all intellectual property rights. The Platform is protected by copyright, trademark, patent, and other laws of Uganda and international treaties.

Your use of the Platform does not grant you ownership of any intellectual property rights in the Platform or the content you access.

5. Updates and Modifications

We may update, modify, or discontinue any aspect of the Platform at any time without prior notice. Updates may include bug fixes, feature enhancements, or security patches.

Your continued use of the Platform after updates constitutes acceptance of the modified software. Some updates may require you to accept revised terms.

6. Beta Features

We may offer beta or experimental features ("Beta Features") that are clearly labeled as such. Beta Features are provided "AS IS" without warranty of any kind and may contain errors or bugs.

We may discontinue Beta Features at any time without notice. You should not rely on Beta Features for production use or mission-critical applications.
